MEMBERSHIP AGREEMENT & TERMS AND CONDITIONS
This Membership Agreement and Terms and Conditions (“Agreement”) is entered into by and between
Get Refreshed Miami, a Florida business entity with its principal place of business in Miami, Florida
(“Get Refreshed,” “Company,” “we,” “us,” or
“our”), and the undersigned individual (“Member,” “you,” or
“your”). By executing this Agreement, Members acknowledge that they have read, understood, and
voluntarily agree to be legally bound by all terms and conditions contained herein.
ARTICLE I
NATURE AND PURPOSE OF MEMBERSHIP
The 100% Club is a private, voluntary wellness membership program offered by Get Refreshed Miami. The
purpose of the membership is to provide Members with structured access to recovery services, longevity and performance
support, wellness amenities, and preferred pricing on aesthetic and regenerative medical services. The 100% Club is
designed as a wellness ecosystem and is not health insurance, not a
medical plan, and not a substitute for medical insurance or medical care. Nothing in this Agreement
shall be construed as:
- Health insurance coverage
- A prepaid medical services contract
- A guarantee of outcomes, results, or eligibility for treatment
ARTICLE II
MEMBERSHIP TERM, MINIMUM COMMITMENT, FEES, AND BILLING AUTHORIZATION
2.1 Minimum Membership Term Member agrees to a minimum membership commitment of twelve (12)
consecutive months (“Minimum Term”) beginning on the enrollment date. Membership may not
be cancelled during the Minimum Term except as expressly permitted by Get Refreshed Miami in writing. 2.2
Membership Continuation After Minimum Term Upon completion of the Minimum Term, membership shall
automatically continue on a month-to-month basis unless and until properly cancelled in accordance with
this Agreement. 2.3 Membership Fee The monthly membership fee is Four Hundred Ninety-Nine
Dollars ($499.00) per month. Member agrees to pay the membership fee for the entire Minimum
Term, regardless of usage, attendance, travel, illness, dissatisfaction, or non-use of services.
2.4 Automatic Billing Authorization By enrolling, Member expressly authorizes Get Refreshed Miami to
charge the payment method on file on a recurring monthly basis. Member acknowledges and agrees that:
- Monthly charges will continue throughout the Minimum Term
- Failed or declined payments do not cancel financial responsibility
- Membership benefits may be suspended for non-payment while billing obligations continue
2.5 Membership Capacity Membership availability is limited. Get Refreshed Miami reserves the right to
cap enrollment at its sole discretion to protect service access and experience.
ARTICLE III
CREDIT SYSTEM AND INTERNAL VALUE STRUCTURE
3.1 Monthly Credit Allocation Each active Member receives thirty (30) credits per billing
cycle.
- Internal value: $25 per credit
- Credits have no cash value
3.2 Credit Expiration and Forfeiture Credits:
- Reset monthly
- Do not roll over
- Are forfeited if unused
Unused credits expire automatically without refund or compensation. 3.3 Additional Credit Purchases
Additional credits may be purchased at $25 per credit. All credit purchases are:
- Final
- Non-refundable
- Non-transferable
ARTICLE IV
CREDIT-BASED SERVICES
Credits may be redeemed only for services designated by Get Refreshed Miami, including but not limited to:
- Hyperbaric Oxygen Therapy
- Infrared Sauna
- Red Light Therapy
- Muscle Recovery Modalities
- IV Therapy (Tier 1, Tier 2, Tier 3 / NAD+)
- Intramuscular Injections
- Personal Training
- Chiropractic & Mobility Sessions
- Comfort Package (when medically appropriate)
All services are subject to medical clearance, provider discretion, and availability.
ARTICLE V
DISCOUNTED SERVICES (NON-CREDIT)
Credits may not be applied to aesthetic or regenerative services. Active Members may receive preferred pricing on select
services, including: 20% Discount Botox, fillers, PDO threads, facials, SMP, GLP-1 medications,
cash-based HRT 15–20% Discount Stem cells, peptides, exosomes, hair restoration, regenerative protocols
Discounts:
- Apply only while membership is active
- Do not stack
- Are subject to change
ARTICLE VI
INCLUDED ANNUAL MEMBERSHIP BENEFIT
Each Member is entitled to one (1) complimentary Picasso Bio Face Lift per calendar year, redeemable
during the Member’s birthday month.
- Approximate value: $2,500
- Non-transferable
- No cash value
- Forfeited if not used within eligibility period
- Members must wait six months to redeem their Picasso Bio Filler Facelift — or receive it immediately with full
annual prepayment.
ARTICLE VII
MEDICAL ACKNOWLEDGMENT AND DISCLAIMER
Member acknowledges that some services are medical in nature and require provider approval, informed consent, and
compliance with medical protocols. Membership does not guarantee eligibility for any treatment.
ARTICLE VIII
CANCELLATION, TERMINATION, AND NO REFUNDS
8.1 Cancellation During Minimum Term Membership may not be cancelled during the twelve (12)
month Minimum Term. Member remains financially responsible for all monthly membership fees for the full
Minimum Term, regardless of use, attendance, dissatisfaction, or personal circumstances. 8.2 Cancellation After
Minimum Term After completion of the Minimum Term, Member may cancel by providing written notice at
least thirty (30) days in advance. Valid written notice includes:
- Email to an official Get Refreshed Miami email address, or
- Written notice delivered in person
Verbal notice, texts, phone calls, or social media messages are not valid. 8.3 Effect of Cancellation
- Billing continues during the 30-day notice period
- No refunds or prorated amounts are issued
- All unused credits expire upon termination
Failure to provide timely written notice does not relieve Member of payment obligations. 8.4
Termination by Get Refreshed Get Refreshed Miami may immediately terminate membership for policy
violations, misuse of services, or unsafe conduct. No refunds shall be issued.
ARTICLE IX
ASSUMPTION OF RISK & LIMITATION OF LIABILITY
Member voluntarily assumes all risks associated with participation in wellness, recovery, fitness, and aesthetic
services. To the fullest extent permitted by Florida law, Member releases and holds harmless Get Refreshed Miami from
all claims arising from participation.
ARTICLE X
GOVERNING LAW AND VENUE
This Agreement shall be governed by the laws of the State of Florida, with exclusive venue in
Miami-Dade County, Florida.
ARTICLE XI
ENTIRE AGREEMENT & MODIFICATIONS
This Agreement constitutes the entire agreement between the parties. No verbal statements modify its terms.
